Non-Compete Agreement
Protecting Client Relationships and Confidentiality
This Non-Compete Agreement (the “Agreement“) is made effective as of this date, by and between The “Company” and The “Employee“.
RECITALS
WHEREAS, the Company engages in the business of providing employment services and has developed valuable relationships with its clients and proprietary business information.
WHEREAS, the Employee acknowledges that in the course of their employment, they will have access to confidential information and client relationships.
NOW, THEREFORE, in consideration of the mutual covenants contained herein, The parties agree as follows:
Non-Compete Obligation
The Employee agrees that during the term of their employment and for a period of 12 months following the termination of their employment, whether voluntary or involuntary, they shall not:
- Engage, directly or indirectly, in the provision of employment services to any client of the Company with whom the Employee had direct contact during their employment.
- Solicit, contact, or communicate with any client of the Company to provide employment services without the prior written consent of the Company.
Geographic Scope
This non-compete obligation shall apply within the geographic area of Ontario
Consideration
The Employee acknowledges that the consideration for this Agreement includes employment with the Company, access to proprietary information, training, and the opportunity to establish relationships with clients.
Confidentiality
The Employee agrees to maintain the confidentiality of all client information and Company trade secrets, and shall not disclose such information to any third party during or after the term of their employment.
Enforcement
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties agree that any disputes arising from this Agreement shall be governed by the laws of Ontario.
Acknowledgment
The Employee acknowledges that they have read, understood, and voluntarily agree to the terms of this Agreement. The Employee has had the opportunity to seek independent legal counsel prior to signing this Agreement.
IN WITNESS WHEREOF, the parties hereto have executed this Non-Compete Agreement as of the date first above written.
